Commercial Manager

Purpose: Our Client is a Blue Chip security company based in SE England. The main purpose of the role is to take the lead in the management of Special Purpose Vehicles (SPVs) and in advising on, negotiating and managing commercial and legal aspects of potential and existing contracts. Provide commercial support to the Division’s bidding activity.

Salary Guide: £40 - £50k, + excellent benefits, depending on the candidate.

Start Date: April/May 2005

Key Accountabilities:

  • To manage the Special Purpose Vehicles, including:
    • Organise client and consortium board meetings, prepare boardpacks and reports and circulate minutes of meetings;
    • Ensure the SPV subcontractors are managed within budget and in line with subcontract conditions;
    • Liaise with Finance Manager, funders and financial advisers to ensure appropriate fund transfers and reconciliations are conducted and relevant advice on financial modelling and allowances are obtained for Special Purpose Vehicles;
    • Liaise with Finance Manager to ensure that payments in respect of goods and services provided to, and by, Special Purpose Vehicles are processed, paid and/or collected;
    • Liaise with Finance Manager and external professional advisers to ensure that management and financial reports, statutory books, VAT returns and general budgets are prepared, reconciled and any corrective action is taken where appropriate;
    • Liaise with insurance brokers to ensure that insurance policies for Special Purpose Vehicles are maintained and claims are processed in accordance with contractual obligations.
  • Assist the SPV Manager in co-ordinating and documenting amendments to contractual terms for new and existing contracts in liaison with client, consortium and internal legal teams and providers
  • Respond to, process and file all documentation to and from Special Purpose Vehicles in accordance with good industry practice, so as to ensure legal and contractual compliance with client requirements and sub-contracts
  • Provide commercial support to the bid teams, including reviewing main and subcontract conditions, negotiating subcontracts and consultancy contracts, and producing relevant commercial sections of the bids


WORKING RELATIONSHIPS:

  • Internal: All levels of management within Justice Services and relevant Group functions such as legal, insurance, finance & purchasing.
  • External: Clients, consortium members, funders, insurance brokers, tax authorities, professional advisers, auditors, industry bodies, government officials and members of the local community including counsellors and dignitaries.


FINANCIAL DIMENSIONS:
Liaison with Finance Manager, financial advisers, funders and external auditors in order to ensure the settlement of all financial matters for the Special Purpose Vehicle. Comply with financial limits agreed with the Board of Directors of the Special Purpose Vehicle.

Person Specification:

  • Essential Education and Experience:
    • Educated to degree level or equivalent
    • Relevant professional qualification
  • Desirable Education and Experience:
    • Sound knowledge of contract law principles and their application to the company’s services
    • Understanding of PFI/PPP market
